These Terms & Conditions ("Terms") govern your use of the Evolve Agritech website and any allocation requests, quotations, or orders you submit through it. By submitting a request or placing an order, you agree to these Terms, our Privacy Policy, and our Trading & Commercial Policy.
1. About us
Evolve Marketing Consultancy Ltd ("Evolve", "we", "us") trades agricultural inputs and commodities in Malawi under the Evolve Agritech brand. Our registered office is Lilongwe, Malawi. Contact: info@evolvemarketingmw.com.
2. Website use
You may use this website only for lawful business purposes related to agricultural supply and trade. You must not misuse the site, attempt unauthorised access, submit false information, or interfere with its operation. We may suspend or restrict access where we reasonably believe misuse has occurred.
3. No binding contract until confirmed
An allocation request or online submission does not create a binding contract. All requests are subject to review, stock or supply availability, credit or payment checks, and formal confirmation by Evolve (typically via invoice, proforma, or written acceptance). We may decline or amend any request before confirmation without liability.
4. Pricing and quotations
- Prices shown on the website or in preliminary communications are indicative unless explicitly marked as fixed and confirmed in writing.
- Commodity prices may follow weekly market rates and can change until invoiced.
- Errors in pricing, quantities, or product descriptions may be corrected before acceptance.
- All amounts are in Malawi Kwacha (MWK) unless otherwise stated.
5. Orders, payment, and delivery
Payment terms, delivery arrangements, and any delivery fees are as set out in your invoice and our Trading & Commercial Policy. Title and risk in goods pass as stated on the invoice or delivery note. You are responsible for providing accurate contact, delivery, and billing details.
6. Product quality and suitability
Agricultural inputs and commodities are subject to natural variation, seasonal availability, and manufacturer or supplier specifications. You are responsible for selecting products suitable for your intended use, crop, soil, and compliance requirements. Samples, where provided, are indicative only unless otherwise agreed in writing.
7. Referral programme
Referral commissions, if offered, are governed by separate referral terms communicated by Evolve. Commission is not earned until Evolve verifies the referral and approves payment in writing. We may amend or withdraw referral programmes at any time.
8. Intellectual property
All content on this website—including branding, text, images, and layout—is owned by or licensed to Evolve. You may not copy, reproduce, or use it for commercial purposes without our prior written consent.
9. Limitation of liability
To the fullest extent permitted by applicable law:
- Evolve is not liable for indirect, consequential, or special loss including lost profit, crop loss, or business interruption.
- Our total liability arising from any order or transaction is limited to the amount paid by you for the specific goods or services giving rise to the claim.
- Nothing in these Terms excludes liability that cannot be excluded under Malawian law.
10. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including but not limited to drought, floods, pests, transport disruption, fuel shortages, government action, strikes, or supplier failure.
11. Disputes and governing law
These Terms are governed by the laws of the Republic of Malawi. The parties will attempt to resolve disputes in good faith before pursuing formal remedies. Courts in Malawi shall have jurisdiction unless otherwise agreed in a signed contract.
12. Changes
We may update these Terms from time to time. The version and date shown at the top of this page apply to new submissions from that date. Continued use of the website after changes constitutes acceptance of the updated Terms for new transactions.
